Mossack Fonseca - On March 14, 2016, the Organization for Economic Cooperation and Development (OECD) will host a conference on the balance between investor protection and governments’ right to regulate. The conference will take place at the OECD Conference Centre in Paris, France.

 

Many recent investment treaty developments have been driven by the quest for a balance between investor protection and governments’ right to regulate. Efforts to achieve balance have inspired innovation in treaty policy, led some countries to exit investment treaties perceived as out-dated, and informed treaty policy and practice worldwide.

 

The conference will explore:

 

  • How governments are balancing investor protection and the right to regulate
  • The search for improved balance through new institutions or improved rules for dispute settlement including the new Investment Court System developed by the European Union
  • A case study on addressing the balance through substantive law―in particular through approaches to the fair and equitable treatment (FET) provision.
  • How the OECD, working with other international organizations, can support constructive improvement of governments’ investment treaty policies in this regard

 

Governments have been evaluating key aspects of investment treaties at regular bi-annual meetings of the OECD-hosted Freedom of Investment Roundtable since 2011. This conference will gather senior policy makers and investment treaty negotiators from 54 advanced and emerging economies for exchanges with leading representatives of business, civil society and academia, as well as international organizations.

Mossack Fonseca: Malta Refuses to Cede Tax Sovereignty

Mossack Fonseca - In response to the European Commission’s (EC) new anti-tax avoidance package that addresses base erosion and profit shifting (BEPS), Malta’s Finance Minister, Edward Scicluna, insists that his country will not cede tax sovereignty to the EC. Malta will resist any attempt by the EC to reduce sovereignty over its own fiscal affairs, he pledged.

 

BEPS refers to tax planning strategies that exploit gaps and mismatches in tax rules to artificially shift profits to low or no-tax locations where there is little or no economic activity, resulting in little or no overall corporate tax being paid.

 

In rebuttal to the EC’s anti-tax avoidance package, Minister Scicluna made the following points:

 

  • Malta is not ready to accept any form of tax harmonisation or any changes to their tax system. He considers this a “red line” that no one will be allowed to cross.
  • Malta condemns tax evasion, and is therefore ready to cooperate to reach an agreement that will enhance tax transparency and improve the exchange of tax-related information between EU member states.
  • Malta’s relatively low taxation rates in and of themselves shouldn’t be considered an abusive, harmful or unjust practice―there is nothing wrong with better tax planning―which mustn’t be confused with tax evasion.
  • Malta won’t be alone in its fight against proposed tax harmonisation―other European countries, including the United Kingdom, share a similar stance.

 

The Minister went on to say that he has already used the threat of a veto to force the EC to modify certain clauses within the BEPS proposal, including a phrase that proposes “a common but flexible approach”.

Mossack Fonseca on Mauritius: Exchange of Information Delayed 1 Year

A 15 January 2016 press release from the Mauritius Revenue Authority (MRA) announced the delay of the Organization for Economic Cooperation and Development’s (OECD) Common Reporting Standard (CRS) exchanges of information for tax purposes until September 2018. Originally, the exchanges were slated to begin in September 2017.

 

The MRA also confirmed that the requirement for Mauritian financial institutions to apply due diligence procedures to record the tax residence of clients opening new accounts will take effect from 1 January 2017. The CRS, unlike FATCA, requires information based upon tax residency, not citizenship.

Mossack Fonseca: Switzerland to Sign Multilateral Pact on Multinationals

Mossack Fonseca - On January 20, 2016, the Swiss Federal Council approved the signing of the Multilateral Competent Authority Agreement on the Exchange of Country-by-Country Reports.

 

Switzerland is to join several other states and territories who will sign the multilateral agreement in Paris on January 27, 2016, reports Taxnews.com.

 

The multilateral agreement sets out the conditions under which tax authorities will automatically exchange country-by-country (CbC) reports on multinationals in their respective territories. It is based on the Convention on Mutual Administrative Assistance in Tax Matters, which was approved by the Federal Assembly in December 2015.

 

The Ministry of Finance said: "The aim of country-by-country reports is to give an overview of multinationals' global allocation of income and taxes paid, together with other indicators on the location of economic activity within the group. Country-by-country reports will be exchanged automatically between the tax authorities of the countries where a group entity is present."

 

"The signing of the multilateral agreement leaves it to Switzerland to choose the countries with which it wishes to automatically exchange country-by-country reports. Switzerland will determine the countries in question at a later date."

 

The Federal Council is to launch a consultation on the multilateral agreement and the implementing act in the first half of 2016. They will go through the standard approval process before entering into force.

Mossack Fonseca: Brazil says beach apartments tied to corruption scheme

 

Beach-side apartments in Brazil may have been used as bribes and to launder money for members of the ruling Workers’ Party, police and prosecutors said on Wednesday after ordering six arrests and 15 search warrants.

 

In the latest phase of Brazil’s largest-ever corruption probe, investigators are looking into whether construction firm OAS SA used apartments in the Solaris complex in Guaruja as bribes in a corruption scheme involving state-run oil firm Petrobras.

 

Dozens of executives and politicians have been arrested or are under investigation on suspicion of overcharging Petroleo Brasileiro SA, as the company is formally known, and using part of the proceeds to bribe members of President Dilma Rousseff’s ruling coalition.

 

The apartments were held in the name of front companies, such as Murray Holdings LLC that was registered by Panama-based Mossack Group, prosecutors said at a news conference, adding Mossack has previously helped hide criminal activity offshore.

 

“There is real evidence of money laundering. We are looking principally at this time at the Vaccari family,” said prosecutor Carlos Fernando dos Santos Lima, referring to Joao Vaccari, the jailed former treasurer of the Workers’ Party.

 

Vaccari has been convicted and sentenced to just over 15 years in jail.

 

OAS declined to comment. Mossack Fonseca, a law firm, said in a statement it had been "unjustly and erroneously included in matters with which we have no involvement at all." The firm said it was not under investigation and had not been contacted by police or the judiciary.

 

Local paper O Globo said former President Luiz Inacio Lula da Silva also had an apartment held under another name in the complex. Lima did not confirm this.

 

"If there was an apartment that was in his name ... or someone in his family, we will investigate it like any other," Lima said. Police said all the apartments in the complex were under investigation.

 

A statement on the website for Lula's office said the former president repudiates attempts to link his name with the corruption scandal. The statement reiterated that Lula's family bought an option for an apartment in the complex but later decided not to go through with the purchase. Lula has previously threatened to prosecute journalists for smearing his name in connection with the Petrobras case.

 

Neither Lula nor Rousseff is under investigation, though Rousseff's approval rating has suffered from the accusations against her political party.

 

Police only gave the name of one person that had been arrested, publicist Nelci Warken.

Mossack Fonseca on Singapore Joins OECD Multilateral Tax Convention

 

On January 20, 2016, Singapore deposited with the Organization for Economic Cooperation and Development (OECD) its instrument of ratification for the Convention on Mutual Administrative Assistance in Tax Matters, reports Lowtax.net.

With this development, Singapore became the 93rd jurisdiction to join the pact, touted by the OECD as the world's leading instrument for boosting transparency and combating offshore tax evasion.

The Convention provides for all forms of administrative assistance in tax matters: exchange of information on request, spontaneous exchange, automatic exchange, tax examinations abroad, simultaneous tax examinations, and assistance in tax collection. It guarantees extensive safeguards for the protection of taxpayers' rights.

Ratifying the Convention will expand Singapore's network of partners for the exchange of information on request by 34 jurisdictions. This is part of a series of changes that Singapore has made in recent years to combat cross-border tax evasion, following Singapore's adoption of the internationally agreed standard for exchange of information on request in 2009, Singapore's Ministry of Finance said.

Minister for Finance, Heng Swee Keat, said: "Ratifying the Convention reflects Singapore's commitment to effective exchange of information based on international standards, but the standards can only work if all financial centres, such as Switzerland, Luxembourg, Singapore, and Hong Kong, move together. We will continue to work with our international partners to achieve this and prevent regulatory arbitrage."

The Convention was developed jointly by the OECD and the Council of Europe in 1988. It was amended in 2010 to respond to a call by the Group of Twenty (G-20) nations that it be aligned to the new international standard on the automatic exchange of information and that it be opened up to all countries.

The Convention is now seen as the instrument for swift implementation of the new Standard for Automatic Exchange of Financial Account Information in Tax Matters developed by the OECD. It will also be critical for the automatic exchange of country-by-country reports, proposed in the OECD's base erosion and profit shifting project.

Hong Kong: AEOI to Begin 2018 by Mossack Fonseca

The Hong Kong Inland Revenue (Amendment) Bill 2016 was gazetted 8 January 2016. "The Bill seeks to put in place a legal framework for Hong Kong to implement the new international standard for automatic exchange of financial account information in tax matters (AEOI) as promulgated by the Organisation for Economic Co-operation and Development (OECD)", a Government spokesman said in a press release.

 

Key points include:

  • Subject to the passage of local legislation, AEOI would be implemented on a reciprocal basis with appropriate partners who could meet relevant standards on protection of privacy and confidentiality of information exchanged and ensuring proper use of the data exchanged.
  • Once the AEOI agreement is in place, financial institutions have to put in place the prescribed due diligence procedures in order to identify and collect information of the relevant financial accounts in 2017.
  • The first information exchanges would take place by the end of 2018.
  • The Inland Revenue Department (IRD) will exchange information with the tax authorities of AEOI partner jurisdictions on an annualbasis.

 

According to the press release, Hong Kong intends to conduct AEOI only with their partners with whom they have signed comprehensive avoidance of double taxation agreements (CDTAs) or tax information exchange agreements (TIEAs), on a bilateral basis.

Mossack Fonseca: "El Chapo" Guzmán buscó registrar su nombre como marca

Antes del espectacular escape de prisión el año pasado, el capo mexicano Joaquín Chapo Guzmán instruyó a sus abogados para que registraran su nombre como marca, lo que ofreció a las autoridades una primera pista de que quería hacer una película sobre su vida, dijeron ayer medios aztecas.

 

Durante sus anteriores 17 meses detrás de las rejas, Guzmán pidió a sus abogados iniciar el proceso de registrar su nombre como marca en el Instituto Mexicano de la Propiedad Intelectual (IMPI), dijo el periodista Carlos Loret, de Televisa.

 

Sin embargo, el IMPI rechazó el registro. Según documentos que vio Reuters, el IMPI rechazó dos solicitudes para registrar como marca el nombre Joaquín el Chapo Guzmán y El chapo Guzmán en 2011, presentadas por Alejandrina Gisselle Guzmán, quien sería su hija. Las solicitudes para trajes y vestidos fueron rechazadas.

 

Ayer también se conoció que Guzmán, recapturado el viernes último, tenía vínculos en Colombia, principal productor mundial de cocaína, con alias Otoniel, líder del Clan Úsuga, según la policía colombiana.

 

Después de dejar las armas en el marco de un programa de desmovilizaciones masivas de milicias de ultraderecha liderado por el gobierno del entonces presidente Álvaro Uribe (2002-2010), Otoniel (Dairo Antonio Úsuga) se erigió como líder del grupo, también conocido como Los Urabeños o Autodefensas Gaitanistas.

 

De las 15 toneladas de cocaína incautadas desde finales de 2014 en una operación contra el Clan Úsuga, “muchas tienen relación” con el mexicano cartel de Sinaloa, liderado por Guzmán. Las marquillas que aparecen en los alijos del estupefaciente “corresponden a logos de compañías internacionales de carros, que es una de las condiciones que establece el cartel de Sinaloa para identificar los cargamentos”, dijo la policía.

 

Esto, mientras en México siguen los rumores del posible vínculo comercial que podrían tener el Chapo con la actriz mexicana Kate del Castillo, a quien le confió en exclusiva el video de la entrevista que le envió al actor estadounidense Sean Penn, y que fue publicada el sábado último por la revista Rolling Stone.

 

Ahí se afirmó que el contacto para la cita fue Kate del Castillo, la actriz que ha encarnado protagónicos en novelas televisivas, en los que se convierte en la jefa del narcotráfico, como sucedió en La reina del sur y en Dueños del paraíso, transmitidas en países latinoamericanos.

 

Durante el operativo de captura del Chapo se encontraron también tres DVD de la novela La reina del Sur. (I)

Mossack Fonseca, Panamá y el intercambio de información tributaria

 

La Organización para la Cooperación y el Desarrollo Económico (Ocde) mantiene una campaña para la implementación universal de un sistema pensado para combatir lo que dicho organismo denomina Erosión de las Bases y Transferencia de Beneficios (Base Erosion and Profit Shifting o Beps, por sus siglas en inglés). Lo llamaremos Beps. En esencia, Beps consiste en un sistema multilateral de intercambio automático de información tributaria entre los países que suscriban el acuerdo correspondiente.

 

Este proyecto Beps de la Ocde constituye un cambio importante respecto de la política que sobre intercambio de información tributaria había venido manteniendo dicha organización durante los últimos años, que consistía en la promoción de redes de intercambio bilateral de información entre países. Este cambio de exigir intercambio bilateral a un sistema de intercambio multilateral, la Ocde ha manifestado que se justifica por el hecho que los sistemas de intercambio bilateral tienen falencias que se prestan para esquemas de erosión de las bases del impuesto corporativo sobre la renta. Según la Ocde, el nuevo sistema está llamado a restaurar la confianza de las personas en sus sistemas impositivos, nivelar el terreno de juego para las empresas y proveer a los gobiernos con herramientas más eficientes para asegurar la efectividad de sus políticas fiscales soberanas. Además, sostiene la Ocde, el nuevo sistema de intercambio multilateral que propone, vendría a estandarizar normas y procedimientos, con lo cual el sistema redundaría en beneficios incluso para las empresas multinacionales.

 

¿Cuál es la posición de Panamá sobre el intercambio multilateral?

 

En primer lugar, en la reciente sesión anual de la Asamblea General de la Organización de Naciones Unidas (ONU), el presidente de la República, Juan Carlos Varela, expresó durante su intervención que Panamá acepta la necesidad de establecer controles adecuados para asegurar que sus sistemas financiero y logístico sean utilizados solo para fines legítimos, y que para ello el país ha venido adoptando normas y sistemas de control cada vez más estrictos. En este sentido, indicó que Panamá acepta que debe migrar hacia un sistema de intercambio automático de información fiscal. Sin embargo, acotó que Panamá continuará suscribiendo acuerdos de intercambio de información bilaterales, como lo ha venido haciendo con los principales socios comerciales del país.

 

Además, el presidente Varela puntualizó, en su intervención en la ONU, que cualquier cooperación de la República de Panamá en materia de intercambio de información fiscal estará condicionada a dos factores: A la capacidad y circunstancias nacionales (de Panamá) y el entorno geopolítico internacional y que se respete el derecho soberano de cada país a tomar las medidas necesarias para garantizar que el intercambio de información fiscal persiga el bien común y no sea utilizado para perjudicar la competitividad de unos países frente a otros.

Lo anterior fue en octubre de 2015. Pero posteriormente, la postura del país ha sido reafirmada por la Cancillería. Gian Castillero, asesor del Ministerio de Relaciones Exteriores para temas económicos, declaró a mediados de diciembre de 2015, a un importante medio escrito de noticias financieras del país, que Panamá no suscribirá el acuerdo multilateral que resulte del proyecto Beps de la Ocde, y que en cambio continuará negociando y suscribiendo acuerdos bilaterales para el intercambio automático de información fiscal, sobre la base de los criterios enunciados por el presidente Varela en su intervención ante la Asamblea General de la ONU.

 

¿Por qué Panamá prefiere la vía de acuerdos bilaterales?

 

Castillero fue bastante franco en su declaración publicada antes referida, y dijo que la Ocde basa su proyecto Beps con intercambio multilateral sobre la premisa que todos los países son iguales, premisa que señala como equivocada y que hay muchos países con retos que pueden ser terriblemente afectados por el intercambio automático de información fiscal. Fue claro al señalar que se refiere a los riesgos de secuestro y al riesgo que la información de los activos de una persona pueda ser usada para fines políticos. Es por esto que Panamá -señala- se reserva su potestad soberana para decidir con qué países suscribe acuerdos de intercambio de información.
